
Terms of Service - IntegrityNext Connector for EUDR

Welcome to the IntegrityNext Connector for EUDR. These Terms of Service (“Terms”) govern your use of the Connector, developed by parasus GmbH, which integrates with SAP S/4HANA Private Cloud Edition with the IntegrityNext platform to automate due diligence checks required under the EU Deforestation Regulation (EUDR).
Scope
These Terms apply to the installation and use of the ICE Connector within your licensed SAP S/4HANA Cloud Private Edition. By using the Connector, you agree to these Terms.
License
We grant you a non-exclusive, non-transferable license to use the Connector for internal business purposes only. All intellectual property remains with parasus.
Implementation & Services
The Connector may be installed and configured by you (the customer), parasus or an authorized partner. Optional consulting, training, and support services are offered under separate agreements.
Use of IntegrityNext Services
The Connector transmits order and supplier data to IntegrityNext for EUDR due diligence verification. Use of the IntegrityNext platform is subject to IntegrityNext’s own terms and conditions. Please see https://www.integritynext.com/esg-solutions/eudr-deforestation-regulation for details.
Customer Responsibilities

Maintain a valid SAP S/4HANA Cloud Private Edition license and system environment.

Maintain a valid IntegrityNext EUDR license including access to the IntegrityNext EUDR API.

Maintain accurate HS codes and material data for compliance checks.

Do not modify the Connector beyond what is expressly permitted.
Updates & Maintenance
We provide updates to maintain compatibility with SAP releases, IntegrityNext APIs, and regulatory changes. The scope of maintenance and support depends on your service package.
Data Processing
The Connector processes data within your SAP system and transmits relevant information to IntegrityNext. parasus does not store customer transaction data outside your SAP system. Data protection is governed by a separate Data Processing Agreement (DPA), if required.
Support
Standard support is available during business hours. Enhanced SLAs, hypercare, or managed services can be agreed separately.
Liability
We are liable only for intent and gross negligence. For slight negligence, liability is limited to foreseeable damages typical of this type of contract. Liability for data loss is limited to the cost of recovery with proper backups.
Term & Termination
The license is valid for the agreed subscription term. Either party may terminate for cause if the other breaches these Terms and does not remedy within 30 days.

Governing Law
These Terms are governed by German law. Exclusive jurisdiction is Mannheim, Germany.
